1. Eligibility and acceptance
You must have authority to bind your organization to these Terms. If you use xnoll on behalf of a company, you represent that you are authorized to do so.
2. Services covered
These Terms apply to xnoll SaaS products, including ERP, booking, inventory, billing, user/org management, and connected support services.
3. Account responsibilities
- Provide accurate registration and billing information.
- Maintain credential security and role-based access controls.
- Remain responsible for all activity under your workspace and users.
- Notify xnoll promptly of unauthorized access or security incidents.
4. Subscription and billing
- Paid plans follow the selected billing cycle.
- Taxes and statutory charges are applied where required.
- Payment failures can result in plan downgrade or suspension.
- Unless required by law, paid fees are non-refundable.
5. Plan changes and cancellation
You may upgrade, downgrade, or cancel according to the active plan terms. Changes may apply immediately or at the next billing cycle depending on plan configuration.
6. Customer data ownership
You retain ownership of data entered into xnoll. You grant xnoll limited rights to host, process, secure, and back up data as needed to provide services.
7. Acceptable use and restrictions
You agree not to:
- Use xnoll for illegal, fraudulent, abusive, or deceptive activities.
- Upload malware, harmful code, or interfere with platform integrity.
- Attempt unauthorized access, scraping, reverse engineering, or data extraction.
- Infringe intellectual property, privacy, or compliance obligations.
8. Third-party services
xnoll may integrate with third-party platforms. Those services are governed by their own terms and privacy policies.
9. Availability and support
xnoll aims for reliable availability but does not guarantee uninterrupted operation. Planned or emergency maintenance may temporarily affect access.
10. Intellectual property
xnoll software, branding, design, and documentation are protected by intellectual property laws. No ownership is transferred to customers.
11. Suspension and termination
xnoll may suspend or terminate services for non-payment, legal risk, abuse, or material violation of these Terms.
12. Warranty disclaimer and liability limit
Services are provided on an “as available” basis to the maximum extent permitted by law. xnoll is not liable for indirect, incidental, or consequential losses.
Total liability for paid services is limited to the fees paid for the applicable service period immediately preceding the claim.
13. Governing law
These Terms are governed by applicable laws where xnoll operates, unless a separate signed enterprise agreement states otherwise.
14. Updates to terms
xnoll may update these Terms for legal, operational, or product changes. Continued use after updates means acceptance of the revised Terms.
